According to the relevant privatization programs, as well as the announcement of the State Assets Management Agency to attract a professional consulting company (hereinafter - Consultant) for the privatization of 85.6% state share in the authorized capital of "Foton" JSC , the following is reported.
During the selection process, proposals were received from 6 local and international professional consulting companies, and their financial proposals, experience in the relevant field, as well as approaches to perform the relevant tasks were considered.
Accordingly, as a result of the selection process, the consulting company "ABRAU CAPITAL", which presented the highest level of projects in this field, the qualification of the professional team involved in the project and the most acceptable price offer, was appointed as Consultant for the privatization of the state share in the authorized capital of "Foton" JSC.
Consultant includes the following tasks:
- analysis of the electronic parts market and prerequisites for the development of the industry in Uzbekistan and in the region;
- submission of proposals to improve the investment attractiveness of the Asset, improve the corporate structure and corporate governance based on best practices and a review of comparable peer companies;
- conducting a comprehensive (tax, legal, financial and environmental) due diligence of the Asset;
- preparation of recommendations on optimal marketing strategy, marketing materials (teaser, information memorandum, procedural letter, etc.) and distribution of information materials to investors;
- taking all measures aimed at privatizing the Asset, organizing the Virtual Data Room (VDR);
- support of the sale process with the preparation of all necessary documentation, including the draft of Sale and Purchase Agreement (with translation into Uzbek and, if necessary, into English and Russian);
The State Assets Management Agency together with the consalting company "ABRAU CAPITAL" will take all necessary measures to organize the process in accordance with open, transparent and competitive sales mechanisms, as well as ensure the provision of information to the public on each stage of the process.
